Heather is a member of Dentons Canada LLP’s Technology and Corporate Commercial Groups. Heather has experience drafting, reviewing and negotiating a broad range of technology-related as well as corporate/commercial agreements to assist clients with all aspects of their business, from organization, structural management, operational, financing and exit transactions (i.e. mergers and acquisitions).

Heather advises clients with respect to corporate issues relating to statutory requirements, shareholder and director issues, liability issues and other related matters from an organizational, operational and transactional perspective.

Heather also gained experience in software licensing, implementation support, service level and maintenance agreements.

Heather also has experience advising on regulations as well as drafting, reviewing and negotiating clinical trial agreements and ancillary documents related to clinical research for two of Canada’s largest research-intensive universities, focusing principally on confidentiality agreements, material transfer agreements, licensing agreements, service agreements, grant agreements, collaboration agreements and consulting agreements.

Heather has experience in managing, protecting and commercializing intellectual property for entities in the private as well as the public sector, gained from her work with the Research Services Office at the University of Alberta, where the technology was often developed and commercialized using government funding assistance.
